Subscription, Billing, and Refund Policy

Billing cycles, payment obligations, taxes, refunds, downgrades, and how pricing changes are communicated.

ADE Subscription, Billing, and Refund Policy

This Policy explains how billing, renewals, payment obligations, and refunds work for ADE subscriptions and related services. This Policy is incorporated into the ADE Terms and Conditions and forms an integral part of your agreement with Autonomous Digital.

1. Subscription Model

Autonomous Digital may offer subscription-based access to ADE, usage-based charges, implementation services, pilot plans, enterprise plans, or other commercial arrangements. The pricing and commercial terms applicable to your account will be stated in your order form, quote, checkout page, or other commercial document expressly accepted by Customer and Autonomous Digital.

2. Billing Cycle

Subscriptions may be billed monthly, annually, or on another interval stated in your order form or checkout flow. Unless otherwise stated in a signed order form, addendum, or other written commercial agreement that expressly provides a different renewal or cancellation procedure, subscriptions renew automatically for successive periods equal to the initial subscription term unless Customer cancels through the applicable checkout flow, account settings, billing portal, or other subscription management functionality made available through the Service before the next renewal term begins.

3. Payment Obligations

You agree to pay all fees, charges, taxes, and other amounts due for the Service when due. Fees are stated in U.S. Dollars unless otherwise expressly specified.

If the applicable fees are stated in U.S. Dollars or another specified currency and your payment method is denominated in a different currency, Autonomous Digital or its payment processor may perform a currency conversion at the time of the transaction. Such conversion will be carried out by the payment processor using its then-current exchange rate and applicable processing practices. Autonomous Digital uses reputable payment processors, and any exchange rates, conversion methods, or related charges applied by such processors are determined by the payment processor and are not imposed by Autonomous Digital. Autonomous Digital will receive only the amount specified for the Service in the stated currency and does not control, determine, or receive any portion of currency conversion fees or exchange rate adjustments applied by the payment processor. By using the Service, you acknowledge and agree that any such currency conversion is performed by the payment processor independently of Autonomous Digital.

If you provide a payment method, you authorize Autonomous Digital or its payment processor to charge the applicable fees, renewal fees, taxes, and other agreed charges using that payment method.

4. Late Payment and Payment Issues

If payment is overdue or your payment method fails, Autonomous Digital may provide notice and a reasonable opportunity to update payment information or cure the non-payment where practical. If amounts remain unpaid after that opportunity, Autonomous Digital may suspend or limit access.

We reserve the right to charge reasonable interest, late fees, collection costs, or administrative fees to the extent permitted by law or expressly stated in your commercial agreement.

5. Billing Disputes

If Customer believes that any invoice or charge is incorrect, Customer must notify Autonomous Digital in writing within thirty (30) days after the applicable invoice date or charge date by sending the dispute to the Billing Contact identified in this Policy or through any other billing dispute channel expressly designated by Autonomous Digital in writing. The notice must describe the basis of the dispute in reasonable detail. The parties will work in good faith to review the issue. Amounts not timely disputed within that thirty (30) day period remain payable when due. If Customer does not receive confirmation of receipt from Autonomous Digital within five (5) business days after sending the dispute, Customer must promptly resend the dispute using the same or another billing dispute channel expressly designated by Autonomous Digital in writing.

6. Taxes

Unless expressly stated otherwise, fees do not include taxes, duties, levies, withholdings, or similar government assessments. You are responsible for applicable taxes associated with your purchase or use of the Service, excluding taxes based on Autonomous Digital's net income. If any withholding or similar deduction is required by applicable law, Customer will be responsible for it and will ensure that Autonomous Digital receives the full amount that would have been payable absent such withholding or deduction, unless otherwise expressly agreed in writing.

7. Refunds

We want customers to understand the commercial terms before they commit. Unless required by law or expressly stated in writing in an order form or other signed commercial agreement, subscription fees and all service fees, including implementation, setup, onboarding, migration, and similar fees, are non-refundable and non-cancellable once the applicable subscription period or service period begins.

If Autonomous Digital offers a trial, pilot, promotional credit, or refund window for a particular plan, it will be governed by its specific written terms. If such a refund is issued, it will be processed in the same currency in which Autonomous Digital received the payment and only in the amount actually received by Autonomous Digital for the applicable Service. Any fees, currency conversion costs, exchange rate differences, or other charges imposed by the payment processor or financial institution are the customer's responsibility and will not be reimbursed by Autonomous Digital.

8. Downgrades and Cancellations

You may elect not to renew or may cancel in accordance with your order form, applicable subscription flow, account settings, billing portal, or other subscription management functionality made available through the Service, or in accordance with any notice procedure expressly stated in a signed order form or other signed commercial agreement. Unless stated otherwise, cancellation takes effect at the end of the current paid subscription period, and we do not provide prorated refunds for unused time.

9. Changes to Pricing

We may update pricing, packaging, features, or commercial terms from time to time. If we change recurring pricing for an existing subscription, we will provide commercially reasonable notice before the new pricing takes effect for the next renewal term, unless a different timing, renewal, or cancellation procedure is expressly set out in a signed order form, addendum, or other signed commercial agreement. If you do not agree to the updated pricing, you may cancel your subscription through the applicable subscription flow, account settings, billing portal, or other subscription management functionality made available through the Service before the next renewal term begins, unless a different cancellation or notice procedure is expressly set out in a signed order form, addendum, or other signed commercial agreement. In that case, the subscription will continue until the end of the then-current paid subscription period under the existing pricing and will terminate at the end of that period. If you do not cancel before the start of the next renewal term, or do not provide any required notice in the manner expressly set out in a signed order form, addendum, or other signed commercial agreement, the subscription will automatically renew under the updated pricing.

10. Third-Party Payment Processors

Payments may be processed through third-party payment processors. Autonomous Digital uses reputable payment processors, and those providers may have their own terms, processing practices, and controls. Autonomous Digital is not responsible for errors, delays, or outages caused by payment processors or financial institutions that are not operated by or directly controlled by Autonomous Digital.
